1) Who We Are
CADWorx LLC (“CADWorx,” “we,” “us,” “our”) provides a done-for-you administrative service that prepares Submittal Registers (sometimes called submittal logs) extracted from client-provided project specifications and formats them for upload into common PM platforms (e.g., Procore) or Excel/CSV.
2) Scope of Service (What We Do / Don’t Do)
Admin Support Only. Our deliverables are administrative aids. We do not provide professional architectural, engineering, legal, or code-compliance services.
No Design/Code Opinions. We do not interpret design intent, code compliance, or stamping/approvals.
Final Responsibility. Final acceptance, completeness, and use of any submittal item remain with the Contractor and the Design Team (architect/engineer/owner/AHJ), not CADWorx.
Compatibility. We deliver in CSV/XLSX with columns commonly accepted by Procore and other platforms. We are not affiliated with or endorsed by Procore. Platform import success depends on the platform’s rules & the client’s configuration.
3) Ordering & The 24-Hour Delivery Guarantee
When the clock starts. Our 24-hour window begins only after (a) payment is captured and (b) complete specifications are received via our intake page (or by written confirmation if provided by email/Drive).
“Complete specs.” A single, final PDF (or clearly labeled set) for the project. If specs are incomplete, corrupted, replaced, or clarified, the clock pauses until complete specs/clarifications arrive.
Force Majeure / Client Delays. The window excludes outages or events beyond our control (internet/cloud outages, platform downtime, natural disasters) and any client delays (e.g., access problems, credentials, missing files).
Refund eligibility. If we miss the 24-hour delivery after the above conditions are met, you may request a full refund of the order fee. This is the sole and exclusive remedy for timing issues.
4) Deliverables; Revisions & Rework
Deliverable. One Submittal Register in CSV/XLSX plus a brief summary PDF (method, assumptions, flagged items).
One adjustment round. Within 5 business days of delivery, you may request one minor correction pass (e.g., column naming, obvious mis-assignment, broken citation link) based on the same spec set, at no extra charge.
Material changes. New spec sets, addenda, bulletins, or revisions constitute new orders (or are billed as Revision Delta services, if offered).
Omissions. We take care to extract thoroughly, but no extraction is perfect. You agree that you/your team will review and validate the register before use. Our liability for any omission is limited as stated in Section 10.
5) Client Obligations
File Responsibility. You warrant you have the right to share the files, and they do not contain unlawful, confidential (without consent), or malicious content.
Accuracy. You are responsible for project-specific rules, submittal review durations, and internal routing that differ from industry defaults.
Platform Imports. You are responsible for importing into your platform and resolving platform-specific field/permission errors.
Retention of your own specs. Because CADWorx deletes files after delivery (see Section 7 of Privacy Policy), you are responsible for keeping your own master copies of specifications and records.
6) Pricing, Payments, Taxes
Prices are posted at order time and are due in full upon checkout. Taxes, if applicable, are your responsibility. We process payments via Stripe or other PCI-compliant processors.
7) Refund Policy
Timing guarantee refund. Only if we miss delivery after payment + complete specs.
No-cause refunds. Apart from the timing guarantee, all sales are final once we deliver the register.
Chargebacks. Unauthorized chargebacks may be contested with proof of delivery and intake records.
8) Data Handling; Sub-processors
We may use reputable sub-processors (e.g., cloud storage, LLMs, OCR) to process documents. We use commercially reasonable safeguards to protect files and outputs. See our Privacy Policy for more.
9) Intellectual Property; License
You retain rights in the underlying specs you provide.
We grant you a non-exclusive license to use the delivered register for your internal project administration.
We may use anonymized, aggregated learnings to improve our services.
10) Disclaimers; Limitation of Liability
AS-IS. Deliverables are provided “AS IS” without warranties of any kind, express or implied.
Indirect damages excluded. CADWorx is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, or delay damages.
Liability cap. Our total liability is limited to the amount you paid for the specific order giving rise to the claim.
11) Indemnification
You agree to indemnify and hold CADWorx harmless from claims, losses, and costs (including reasonable attorneys’ fees) arising from: (a) your use of the deliverable; (b) your import or configuration in third-party platforms; (c) files you provide; (d) your breach of these Terms.
12) Confidentiality
We will not disclose your project files or outputs beyond personnel/sub-processors who need access to perform the service, except as required by law.
13) Non-Affiliation
All third-party names (e.g., Procore, PlanGrid, Buildertrend, Newforma) are trademarks of their owners. We are not affiliated with or endorsed by them.
14) Governing Law; Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict principles. The exclusive venue is state or federal courts in Duval County, Florida.
15) Changes to Terms
We may update these Terms from time to time. The “Last updated” date reflects the current version. Continued use after changes constitutes acceptance.
